MUSIC ACCESS LICENSE AGREEMENT This Music Access License Agreement (the “Agreement”) is entered into as of the date of payment receipt (the “Effective Date”), by and between: Licensor: Brendan S. Rose, doing business as Loki’s Kingdom (“Licensor,” “I,” or “me”), with contact email [your email address]; andLicensee: [Buyer’s Full Name or “the individual/entity providing the email address below”] (“Licensee,” “you,” or “your”), who has elected to purchase access by contacting Licensor via email. RECITALSWHEREAS, Licensor is the sole owner and copyright holder of certain original musical works and recordings (the “Songs” and the “Archives”);WHEREAS, Licensee desires to obtain a limited, personal license to access the Archives, and Licensor is willing to grant such access subject to the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:1. Grant of License 1.1 Upon receipt of the full payment specified on https://www.lokiskingdom.com/donate/ (or as otherwise agreed in writing), Licensor shall add Licensee’s verified email address to the authorized access list for the Archives (or the specific album(s) purchased). 1.2 Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable personal license to access and download the Songs solely for Licensee’s personal, non-commercial use.1.3 Access will be provided via a secure cloud storage link or equivalent platform. Licensee is responsible for maintaining the confidentiality of any login credentials or links provided.2. Payment and Refunds2.1 Payment shall be made via PayPal (or other method mutually agreed in writing) in the amount advertised on the website at the time of purchase.2.2 All sales are final. There are no refunds for any reason, including but not limited to dissatisfaction with the content or changes in Licensee’s circumstances. 3. Lifetime Access and Maintenance 3.1 Licensor intends and will strive to provide lifetime access to the purchased Archives for as long as Licensor maintains the necessary systems.3.2 If technical or operational changes require it, Licensor may migrate the Archives to an alternative platform and will make reasonable efforts to notify Licensee at the email address provided and ensure continued access.3.3 Notwithstanding the foregoing, access is provided “as available.” Licensor does not guarantee permanent availability of any specific platform or link. 4. Termination and Revocation 4.1 Licensor reserves the right to terminate or suspend Licensee’s access at any time, for any reason or no reason, upon notice to Licensee (where reasonably practicable). 4.2 Licensor will generally exercise this right only in cases of abuse, including but not limited to: Any illegal or malicious use of the Songs or Archives; Sharing, distributing, uploading, or publicly performing the Songs without express written permission; Harassment or threats directed at Licensor, Licensor’s friends, family, or associates;
Violation of any term of this Agreement.

4.3 Upon termination, Licensee’s right to access the Archives ceases immediately. Licensee must delete all downloaded copies of the Songs and cease any further use.5. Intellectual Property and Restrictions 5.1 All copyright, trademark, and other intellectual property rights in the Songs and Archives remain exclusively with Licensor. This Agreement does not transfer ownership of any rights. 5.2 Licensee shall not: Copy, reproduce, distribute, sell, license, or commercially exploit the Songs; Modify, remix, or create derivative works (except for strictly personal, non-public use as permitted by applicable fair use law);
Remove or alter any copyright notices;
Share access credentials or downloaded files with any third party.

5.3 Any unauthorized use constitutes infringement and may result in legal action. 6. Warranties and Disclaimers 6.1 The Archives and Songs are provided “AS IS” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 6.2 Licensor does not warrant that access will be uninterrupted, error-free, or free from viruses or other harmful components. Licensee assumes all risk related to use. 7. Limitation of Liability 7.1 To the fullest extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the Archives, even if advised of the possibility of such damages. 7.2 Licensor’s total liability shall not exceed the amount actually paid by Licensee under this Agreement. 8. Governing Law and Dispute Resolution 8.1 This Agreement shall be governed by the laws of Canada, Ontario, without regard to conflict of laws principles. 8.2 Any disputes shall first be attempted to be resolved amicably via email. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Canada, Ontario. 9. Miscellaneous 9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. 9.2 If any provision is held invalid, the remainder shall continue in full force. 9.3 No waiver of any breach shall constitute a waiver of any other breach. 9.4 Licensee represents that they are at least 18 years of age (or the age of majority in their jurisdiction) and have the legal capacity to enter into this Agreement. 9.5 This Agreement may be executed electronically (including by email confirmation or by completing payment after receiving this document). Payment after receipt of this Agreement constitutes acceptance of all terms. Acceptance By making payment after receiving this Agreement, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions herein.
